Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Solutions Intelligentes SmartGrants Sougou Inc. ("SmartGrants", "we", "us") governing your use of SmartGrants AdStudio and any related websites, APIs and services (the "Platform"). By accessing or using the Platform you confirm you have read and agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that entity.

SmartGrants AdStudio is a multi-tenant SaaS platform that turns text prompts into advertising videos. Prompts are submitted to third-party generative video models, generation is tracked asynchronously, and finished videos are made available for playback and download inside your workspace. We may introduce, modify or discontinue features and models at any time, with reasonable notice for material changes.

You must register with accurate, current information and keep your login credentials confidential. You are responsible for all activity under your account and for the members you invite into your workspace. Notify us immediately at admin@smartgrants.io if you suspect any unauthorised access. We may suspend accounts that show signs of compromise or that violate these Terms.

You agree NOT to:

• Generate content that is unlawful, defamatory, hateful, sexually explicit, or that depicts minors inappropriately.
• Create deepfakes, impersonations or synthetic likenesses of real people without their documented consent.
• Produce advertising that is misleading, deceptive, or that breaches advertising standards in the markets where it runs.
• Describe or reproduce trademarks, characters, music or brand assets you do not have the rights to use.
• Attempt to bypass content moderation, rate limits, credit accounting or technical controls.
• Attempt to gain unauthorised access to the Platform, to other workspaces, or to connected systems.
• Reverse-engineer, decompile or extract source code, or resell access without our written consent.
• Interfere with the performance, stability or availability of the service for other workspaces.

You are solely responsible for how generated videos are used, published and distributed. Generations are also subject to the content policies of the underlying model providers, and may be rejected by automated moderation.

Access is offered through Starter ($490/mo + $100 setup), Growth ($790/mo + $100 setup) and Scale ($1490/mo + $100 setup) plans, billed in advance. Starter and Growth include a 14-day free trial; only the one-time $100 setup fee is charged on day 1 to cover provisioning of your workspace and generation capacity. Subscription billing begins on day 15 unless you cancel. Fees are non-refundable except where required by law. We may adjust pricing with at least 30 days' notice.

Each plan includes a monthly credit allowance, and additional credits can be purchased as top-ups at any time. Credits are debited when a generation is submitted and are automatically returned if the generation fails or is rejected by content moderation. Credits carry no cash value, are not exchangeable, and are not refundable in cash. Unused credits expire when a subscription ends.

You retain ownership of the prompts, briefs and reference material you submit ("Customer Data"), and — to the extent granted by the underlying model providers' terms — of the videos generated from them. You grant SmartGrants a limited, non-exclusive licence to process Customer Data solely to operate and improve the Platform. We do not sell your data, do not use it for advertising, and do not submit it for third-party model training. On termination, you may export your videos for up to 30 days, after which we may delete them.

The Platform integrates Higgsfield (generative video models, including Kling and Hailuo), Supabase (database and authentication), Cloudflare (edge hosting), Resend (transactional email) and Stripe (payments). Use of these services is also subject to their own terms. Generated media is retained by the model provider for a limited period only, which is why AdStudio makes your videos available for download from your workspace.

All rights, title and interest in the Platform — software, design, documentation, branding and proprietary orchestration logic — remain with SmartGrants. These Terms do not transfer any IP rights beyond the limited licence to use the service during your active subscription.

Each party agrees to keep confidential any non-public information received from the other party. This does not apply to information already public, independently developed, or required to be disclosed by law.

We target high uptime but do not guarantee uninterrupted access, and generation times depend on third-party model capacity. Maintenance windows will be communicated in advance. Support is provided via email; customers on Scale receive priority response terms.

To the maximum extent permitted by law, SmartGrants is not liable for indirect, incidental, special, consequential or punitive damages — including loss of revenue, data, campaign performance or business opportunity — arising from your use of or inability to use the Platform. Our total aggregate liability shall not exceed the fees you have paid in the twelve months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless SmartGrants, its officers, employees and agents from any claims, damages or expenses arising out of your breach of these Terms, your misuse of the Platform, the publication of generated content, or your violation of third-party rights including intellectual property, publicity and privacy rights.

Either party may terminate by 30 days' written notice. We may suspend or terminate immediately if you breach these Terms or engage in activity that threatens the Platform's security, integrity or compliance posture. Upon termination your access ceases and outstanding fees become immediately due.

We may update these Terms from time to time. Material changes will be communicated by email or in-platform notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved in the competent courts of Montreal, Quebec, Canada.
